Terms of Service

Please read these Terms of Service carefully before using the Resolvenyx platform. These Terms form a legally binding agreement between you and Resolvenyx Ltd.
1. Acceptance of Terms
By accessing or using the Resolvenyx platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. If you do not agree, do not use the Service.
2. Description of Service
Resolvenyx provides a cloud-based customer support platform that integrates with the WhatsApp Business API to enable teams to manage customer conversations, assign tickets, set reminders, and integrate email. Features may change from time to time at our discretion.
3. Accounts & Access
You must provide accurate registration information and keep it up to date. You are responsible for all activity under your account. You must not share login credentials or allow unauthorised access. Notify us immediately at hello@resolvenyx.com if you suspect a security breach. We may suspend or terminate accounts that violate these Terms.
4. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose; (b) send spam, unsolicited, or harassing messages; (c) violate WhatsApp's Business Policy or Meta's terms; (d) attempt to reverse-engineer or extract source code from the Service; (e) resell or sublicense access to the Service without written consent; (f) introduce malware or disruptive code; or (g) impersonate any person or entity.
5. Subscription & Payment
Access to the Service requires a paid subscription after the free trial period. Fees are billed monthly or annually in advance as selected at sign-up. All fees are non-refundable except where required by law. We may change pricing with 30 days' written notice. Failure to pay may result in suspension of your account.
6. Free Trial
We offer a 14-day free trial with no credit card required. At the end of the trial you may choose a paid plan. If you do not subscribe, your account and data will be retained for 30 days then permanently deleted.
7. Data & Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of all customer data you upload or process through the Service. You grant us a limited licence to process that data solely to provide the Service. We will not sell your data to third parties.
8. WhatsApp Business API
The Service connects to the WhatsApp Business API operated by Meta Platforms, Inc. Your use of WhatsApp through our platform is also subject to Meta's WhatsApp Business Terms of Service. You are responsible for ensuring your messaging activity complies with those terms, including obtaining appropriate customer consent.
9. Intellectual Property
All intellectual property in the Service — including software, design, trademarks, and content — is owned by Resolvenyx Ltd or its licensors. Nothing in these Terms transfers any IP rights to you. You may not use our name, logo, or branding without prior written consent.
10. Confidentiality
Each party agrees to keep the other's confidential information private and not to disclose it to third parties without consent. This obligation survives termination of these Terms for a period of three (3) years.
11. Disclaimers
The Service is provided "as is" and "as available." We do not warrant that the Service will be uninterrupted, error-free, or meet your specific requirements. To the fullest extent permitted by law, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Resolvenyx Ltd's total liability to you for any claims arising out of or related to the Service shall not exceed the fees paid by you in the three (3) months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
13. Indemnification
You agree to indemnify and hold Resolvenyx Ltd and its officers, directors, and employees harmless from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
14. Termination
Either party may terminate the subscription at any time. You may cancel via your account settings or by contacting us. We may terminate or suspend your access immediately if you breach these Terms. Upon termination, your right to use the Service ceases. We will retain your data for 30 days after termination, after which it will be deleted.
15. Changes to Terms
We may update these Terms from time to time. We will notify you by email or in-app notice at least 14 days before material changes take effect. Continued use of the Service after changes constitutes acceptance.
16. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
